Governance
CAVAL is structured as a not-for-profit company limited by guarantee and owned by 12 Australian Universities. Its constitution specifies a range of purposes to assist libraries and educational purposes. CAVAL is governed by a Board of Directors under the terms of the Corporations Act.
In October 2005, the Member institutions agreed to change the size of the Board from 15 directors to 9 directors. Five of these directors are directly elected from the member institutions while the remaining directors are appointed for their relevant skills which are considered desirable to have on the Board. Each of the directors normally holds office for a period of three years.
The CEO is company secretary. The CAVAL Board has Standing Committees to assist it in its deliberations:
- Finance and Audit Committee
- Products and Services Committee
It establishes a number of other specialist committees, from time to time. At this time, a CARM2 Committee has been establish to explore the extension of the CARM Centre.
